Refusal of Service and Content
MCOL reserves the right, at its sole discretion, to refuse to honor any request for Registration of Web Site users, any request for Subscriptions to HealthSprocket e-mailings, or any requests to submit Content of any kind. Furthermore MCOL reserves the right to terminate any user Registration or Subscription at any time, deny access to the Web Site to a specific user(s) or to delete any Content at any time.
Submission of Content
You do not have to submit anything to us, but if you choose to submit Lists, Comments, Blogs, Votes and other Information (Content) for potential publication on the Web Site or HealthSprocket e-mailings, the following are general provisions that apply to your submissions. The HealthSprocket List Submission Policy further addresses specific provisions regarding Submissions of Lists, thus you must review, agree and adhere to the HealthSprocket List Submission Policy if you opt to submit lists to HealthSprocket. You must adhere to the HealthSprocket Rules of Conduct as set forth below regarding all content that you submit. By submitting any Content to us, you represent and warrant that such submission complies with the Content Rules of Content indicated below. You furthermore grant MCOL perpetual rights and use to publish all submitted Content in the Web Site and HealthSprocket e-mailings without claim to any compensation in any form from MCOL.
Flagged Content:
Wherever Flagging is enabled in the Web Site, any user may flag Lists or other applicable items that they feel are spam or otherwise violate the Content Rules of Conduct or Other Rules of Conduct as stated herein. The Web Site may deploy "Public Flags" that are visible to all users after an item is flagged, or "Silent Flags" that are visible only to MCOL after an item is flagged, at various times or portions of the Web Site. Flagging does not signify that MCOL agrees with the user(s) initiating the flag, and MCOL is under no obligation to act upon a flagged item, or to remove a flag from an item. MCOL at its sole discretion may choose to take various actions regarding flagged content.
Deletion and Editing of Content and Reporting of Infringements
MCOL at its own discretion may elect to delete any content at any time. Users may request to delete or edit their own content, wherever forms and links are provided to do so within the Web Site and as described elsewhere within the site. Parties claiming to have their patents, trademarks, trade secrets, copyrights proprietary and other rights infringed upon by submitted Content can submit requests to MCOL's attention for applicable Content to be edited or deleted using the MCOL contact information provided below.

Content includes lists, comments, blogs and other applicable information you submit for publication on the Web Site or in HealthSprocket e-mailings. You must adhere at all time to the following rules of conduct regarding any Content that you submit:
- Do not falsely state, impersonates or otherwise misrepresents your identity, or misrepresent your current or previous positions and qualifications, or your affiliations with a person or entity, past or present if you are not providing anonymous content.
- Do not submit content that is unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable;
- Do not submit information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships
- Do not submit information that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights;
- Do not include any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
Other Rules of Conduct
In addition to the Content Rules of Conduct, you must adhere at all time to the following rules of conduct regarding your overall use of the Web Site and HealthSprocket e-mailings:
- You may not use any information obtained from the Web Site to harass, abuse or harm another person.
- You may not use or attempt to use another's account without authorization from the Company, or create a false identity on the web site.
- You may not collect, use or transfer any information, including but not limited to, personally identifiable information obtained from the Web Site except as the owner of such information may expressly permit.
- You may not duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, otherwise transfer or commercially exploit HealthSprocket Content (excluding Content posted by you) except as specifically authorized in writing by MCOL.

Registration Eligibility
If you Register with MCOL's HealthSprocket as provided for in the Web Site, you represent and warrant that you (a) are not under the age of 18; (b) have not previously been suspended or removed from Registration by MCOL; (c) are not a direct competitor of MCOL; (d) do not have more than one Registration account at any given time; (e) will keeo your password confidential, will not use other Users’ accounts and will not let others use your account; and (f) will comply with the HealthSprocket Terms of Use at all times.
Indemnify MCOL
You agree to indemnify MCOL and hold MCOL harmless from any damages, losses and costs (including, but not limited to, reasonable attorneys’ fees) related to third party claims, charges or investigations, caused by your failure to comply with the HealthSprocket Terms of Use, including, without limitation, your submission of Content that violates third party rights or applicable laws.
Disclaimers
MCOL does not guarantee that the services which it provides will function without interruption or errors in functioning. MCOL may modify, replace, refuse access to, suspend or discontinue the Web Site, partially or entirely. MCOL reserves all rights not expressly granted herein, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in MCOL's HealthSprocket and all related items. MCOL neither warrants nor represents that your use of the Web Site will not infringe the rights of third parties. MCOL does not have any obligation to verify the identity of the persons submitting anonymous Content, nor does it have any obligation to monitor the use of its Web Site by other users. MCOL declines all liability for identity theft or any other misuse of your identity or information.
